Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Wazello platform, including the website, dashboard, APIs, and all related services (collectively, the "Service") provided by Wazello ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

Acceptance of Terms

By registering for an account or otherwise accessing or using the Service, you confirm that you are at least 18 years old, have the legal capacity to enter into a binding agreement, and accept these Terms in full. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Description of Service

Wazello provides an AI-powered WhatsApp assistant platform that enables businesses to automate customer conversations, capture structured business actions (such as orders, bookings, and reservations), and manage operations through a real-time dashboard. The Service includes bot creation and configuration tools, a conversation management interface, an action inbox, analytics, knowledge-base management, and related features as described on our website.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify users of material changes in advance.

Account Registration

To use the Service, you must create an account by providing accurate and complete information, including a valid email address and a secure password. You are responsible for:

  • Maintaining the confidentiality of your login credentials.
  • All activity that occurs under your account.
  • Notifying us immediately at support@wazello.com if you suspect unauthorized access.

We reserve the right to suspend or terminate accounts that violate these Terms or that remain inactive for an extended period.

Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations, including WhatsApp's Terms of Service and Business Policy. You must not:

  • Use the Service to send spam, unsolicited messages, or engage in any form of bulk messaging that violates platform policies.
  • Transmit content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.
  • Attempt to reverse-engineer, decompile, or extract source code from the Service.
  • Use automated tools (other than those provided by the Service) to scrape, overload, or interfere with the platform.
  • Impersonate another person or entity, or misrepresent your affiliation with any person or entity.
  • Use the Service to collect, store, or process sensitive personal data (such as health records, financial account numbers, or government-issued IDs) without proper legal basis and safeguards.

We reserve the right to investigate and take appropriate action, including suspension or termination, against users who violate this section.

Credits & Billing

The Service operates on a credit-based billing model. Each subscription plan includes a monthly credit allotment. Credits are consumed when your bot processes messages, generates actions, or uses premium features such as voice transcription and text-to-speech.

  • Billing cycle: subscriptions are billed monthly or annually in advance, depending on your chosen billing period.
  • Credit reset: unused credits do not roll over and reset at the start of each billing cycle.
  • Overage: if you exhaust your credit allotment, your bot will pause until credits are replenished. The Scale plan offers optional pay-as-you-go overage billing.
  • Plan changes: upgrades take effect immediately with prorated billing. Downgrades take effect at the start of the next billing cycle.
  • Refunds: payments are non-refundable except where required by law. If you cancel your subscription, you retain access until the end of the current billing period.

Intellectual Property

All intellectual property rights in the Service — including the software, designs, trademarks, documentation, and marketing materials — remain the exclusive property of Wazello. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

You retain full ownership of any content you upload to the Service, including knowledge-base files, bot configurations, and business data. By using the Service, you grant us a limited license to process this content solely to provide and improve the Service.

Limitation of Liability

To the maximum extent permitted by applicable law, Wazello and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service.

Our total aggregate liability for any claims arising from the Service shall not exceed the amount you paid to us during the twelve (12) months preceding the event giving rise to the claim. The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.

You acknowledge that AI-generated responses may contain inaccuracies and that Wazello does not guarantee the correctness, completeness, or suitability of bot-generated content for any particular purpose.

Termination

You may cancel your account at any time from the dashboard settings. Upon cancellation, your subscription remains active until the end of the current billing period, after which your bots will be deactivated and your data will be scheduled for deletion.

We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or if required by law. In such cases, we will make reasonable efforts to notify you and provide an opportunity to export your data, unless doing so would compromise security or violate legal obligations.

Upon termination, your right to use the Service ceases immediately. Sections relating to intellectual property, limitation of liability, and governing law survive termination.

Changes to Terms

We may update these Terms from time to time to reflect changes in our Service, legal requirements, or business practices. When we make material changes, we will provide at least 30 days' notice via email or a prominent notice within the Service before the new terms take effect.

Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the changes. If you do not agree with the revised Terms, you should discontinue use of the Service and cancel your account.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Wazello is incorporated, without regard to its conflict-of-law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
